TERMS AND CONDITIONS FOR DAD FACADE LAB

1. Acceptance of Terms (Click-Wrap Agreement)

BY CLICKING “I AGREE,” “CREATE ACCOUNT,” “SUBSCRIBE,” OR BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE LEGALLY BOUND BY THESE TERMS AND CONDITIONS.

If you do not agree, you must not use the Service.

2. Introduction

DAD Facade Lab (“DAD Facade Lab,” “we,” “us,” or “our”) is a downloadable desktop application for Windows, operated by Digital Art Dynamics, that provides AI-assisted tools for generating projection-mapping visuals, facade content, animations, and related media (the “Service”).

The Service runs AI generation locally on your own computer and hardware. Your source images, prompts, settings, and generated outputs are created and stored on your device. They are not uploaded to, transmitted to, collected by, or accessible to us.

These Terms govern all access to and use of the Service.

3. Eligibility & User Accounts

You must be at least 18 years of age to use the Service.

You agree to:

• Provide accurate, current, and complete information
• Maintain the confidentiality of your credentials
• Accept responsibility for all activity under your account

We are not responsible for unauthorized access resulting from your failure to secure your account.

4. Communications & Marketing Emails

By creating an account or using the Service, you agree that we may send you communications related to your account and use of the Service. These communications may include:

• Transactional / service emails (e.g., login/security alerts, billing, receipts, important service notices)
• Product updates (e.g., feature announcements, changes to plans, improvements)
• Marketing or promotional emails (e.g., offers, newsletters, and announcements)

You may opt out of marketing or promotional emails at any time by using the unsubscribe link in an email and/or by adjusting your notification preferences in the Service (if available).

Even if you opt out of marketing emails, we may still send you transactional or service emails that are necessary to provide the Service, comply with legal obligations, or protect account security.

The Service uses artificial intelligence and automated systems to generate outputs (“Generated Content”).

You acknowledge that:

• Outputs are probabilistic and algorithmic
• Results may be inaccurate, incomplete, inconsistent, or unpredictable
• Outputs may unintentionally resemble existing works
• Identical prompts may produce different results

Digital Art Dynamics makes no warranties regarding originality, accuracy, legality, or fitness for any purpose.

You are solely responsible for reviewing, validating, and determining the suitability of Generated Content before use.

6.1 Third-Party AI Models & Open-Source Licenses

The FacadeLab Studio application includes third-party AI models, engines, and open-source software, each provided under its own license. Your use of those components is subject to their respective license terms, which are included with the application (a copy of each license ships with the software and is listed under Settings → Third-Party Licenses).

Without limitation, the Software includes SAM 3 by Meta Platforms, Inc., provided under the SAM License. Your use of the SAM 3 components is subject to that license, including its acceptable-use and trade-control conditions (for example, no use for military or weapons-related purposes, ITAR-controlled activities, or other prohibited end uses) and no reverse engineering of those components. The SAM 3 components are provided “as is,” without warranty.

7. Commercial Use & Client Delivery

Generated Content may be used commercially and delivered to clients as part of a service or production.

You may not:

• Resell, sublicense, or white-label the Service
• Offer the Service as a competing platform
• Claim ownership of platform software, models, or workflows

8. Local-First Data Handling & Analytics

The Service performs AI generation locally on your device. Your prompts, source images, settings, and Generated Content are processed and stored entirely on your own computer. They are not uploaded to, transmitted to, collected by, or accessible to us, and we do not use them to train any AI model.

We collect only the limited information needed to operate the Service:

• Account information — such as your email address and authentication identifiers, to sign you in and secure your account.
• Billing metadata from our third-party payment processor (e.g., customer and subscription identifiers and subscription status) to manage your subscription. We do not store your payment card details.
• Optional usage analytics — only if you consent — limited to a fixed allow-list of non-content events (for example, which features are used, generation timings and success/failure, app version, error diagnostics, and aggregate hardware capability such as GPU class and VRAM). This data is sanitized on your device before sending and never includes prompts, images, file paths, project names, or any Generated Content. You can disable analytics at any time in Settings.

We retain account and billing information as long as necessary to provide the Service and meet legal obligations. We do not sell your personal information.

No Sensitive Data. The Service is not designed to process sensitive personal data. You agree not to submit protected health information (HIPAA), financial account numbers, government-issued identification numbers, biometric data, or other regulated or highly sensitive personal data.

9. Acceptable Use Policy

You may not use the Service in any manner that:

• Violates applicable laws or regulations
• Infringes intellectual property or privacy rights
• Is deceptive, fraudulent, or impersonative
• Is harassing, hateful, or threatening
• Is sexually explicit or pornographic
• Involves child sexual abuse material (CSAM)
• Attempts to reverse engineer, scrape, overload, or disrupt the Service

Violations may result in immediate suspension or termination.

10. DMCA & Copyright Policy

We comply with the Digital Millennium Copyright Act (DMCA) and will respond to valid takedown notices. Repeat infringers may have accounts terminated.

11. No Professional or Safety Advice

The Service does not provide legal, financial, architectural, engineering, safety, or regulatory advice.

Generated Content is for creative and illustrative purposes only and must not be relied upon as professional guidance.

12. Service Availability & Modifications

Availability may vary due to demand, maintenance, model updates, or third-party dependencies.

We may modify, limit, suspend, or discontinue any aspect of the Service at any time without notice.

13. Intellectual Property (Platform)

All platform software, interfaces, workflows, branding, and non-user content are owned by Digital Art Dynamics and protected by law.

14. Force Majeure

We are not liable for failures or delays caused by events beyond our reasonable control, including internet outages, cloud failures, natural disasters, labor disputes, or governmental actions.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
• TOTAL LIABILITY SHALL NOT EXCEED AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM

16. Indemnification

You agree to indemnify and hold harmless Digital Art Dynamics from claims arising from:

• Your use of the Service
• Your Generated Content
• Your violation of these Terms
• Your violation of third-party rights

17. Right to Refuse Service

We reserve the right to suspend or terminate accounts at our sole discretion, with or without notice. No refund will be issued for any unused portion of a paid subscription term.

18. Export & Sanctions Compliance

You may not use the Service in violation of U.S. export laws or sanctions.

19. Dispute Resolution & Arbitration (IMPORTANT)

All disputes shall be resolved exclusively by binding arbitration under AAA rules in the State of California, United States.

• No jury trials
• No class actions
• Claims must be brought within one (1) year

20. Governing Law

These Terms are governed by the laws of the State of California, United States.

21. Survival

Sections regarding data usage, liability, arbitration, indemnification, and governing law survive termination.

22. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on the Service.

Continued use of the Service after changes constitutes acceptance of the updated Terms. If changes are material, we may require renewed acceptance.
